Terms of Service

These Terms of Service ("Terms") govern your use of the Kyanite Blue website at kyaniteblue.com and any services provided by Kyanite Blue Ltd ("Kyanite Blue", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Kyanite Blue Ltd is a company incorporated in England and Wales (Company No. 12456304), with its registered office at Moorend Farm Main Street, Ulleskelf, Tadcaster, England, LS24 9DU.

Kyanite Blue provides the following categories of services:

Cybersecurity Product Resale: We act as an authorised reseller and channel partner for third-party cybersecurity solutions including, but not limited to, Coro, Hadrian, BlackFog, and Panorays. Your use of these products is also subject to the respective vendor's terms and conditions.

Security Consultancy: Advisory and assessment services covering security posture, risk identification, and compliance support across digital and physical environments.

Implementation Services: Deployment, configuration, and integration of cybersecurity products and solutions within your environment.

Managed Security Services: Ongoing monitoring, management, and support delivered under the Collective IP brand.

Training: Education and enablement programmes for your technical and non-technical staff.

Submitting an enquiry via our website or by email does not constitute a contract or binding commitment on the part of Kyanite Blue or the enquiring party. No contractual relationship is formed until:

(a) a formal written proposal or statement of work has been issued by Kyanite Blue; and (b) that proposal has been accepted in writing by the client (including via email confirmation or a signed order form).

All proposals are subject to change until formally accepted. Kyanite Blue reserves the right to withdraw or amend any proposal prior to acceptance.

In engaging Kyanite Blue's services or using our client portal, you agree to:

Accuracy of Information: Provide accurate, current, and complete information as reasonably required to deliver the services.

Credential Security: Maintain the confidentiality of your client portal login credentials. You are responsible for all activity that occurs under your account. Notify us immediately at hq@kyaniteblue.com if you suspect unauthorised access.

Vendor Terms Compliance: Where we resell third-party products on your behalf, you agree to comply with the applicable end-user licence agreements and terms of service of those vendors.

Lawful Use: Use our services and client portal only for lawful purposes and in accordance with these Terms.

Kyanite Blue Content: All content on this website — including text, graphics, logos, and design — is the property of Kyanite Blue Ltd or is used with permission. You may not reproduce, distribute, or create derivative works without our prior written consent.

Third-Party Trademarks: Product names, logos, and trademarks referenced on this website (including Coro, Hadrian, BlackFog, and Panorays) are the property of their respective owners. Their use on this website does not imply any affiliation with or endorsement by those owners beyond our authorised reseller or partner status.

Client Materials: Any materials, data, or information provided by you to Kyanite Blue in connection with the delivery of services remain your intellectual property. You grant us a limited licence to use such materials solely for the purpose of delivering the agreed services.

To the fullest extent permitted by applicable law:

Cap on Liability: Kyanite Blue's total aggregate liability to you in connection with these Terms or any services provided shall not exceed the total fees paid by you to Kyanite Blue in the twelve (12) months immediately preceding the event giving rise to the claim.

Excluded Losses: Kyanite Blue shall not be liable for any: (a) loss of profits; (b) loss of revenue; (c) loss of data; (d) loss of goodwill; (e) indirect, consequential, special, or punitive damages — whether arising in contract, tort (including negligence), or otherwise — even if we have been advised of the possibility of such damages.

Third-Party Products: Kyanite Blue acts as a reseller of third-party cybersecurity products. We do not warrant the performance, accuracy, or fitness for purpose of those products beyond what is provided in the relevant vendor's warranty. Claims relating to product defects or failures should be directed to the vendor in the first instance.

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by English law.

Both parties agree to maintain the confidentiality of the other party's confidential information, including but not limited to: commercial terms, pricing, client lists, technical specifications, and business strategies.

This obligation shall not apply to information that: (a) is or becomes publicly available other than through a breach of this clause; (b) was already known to the receiving party at the time of disclosure; (c) is required to be disclosed by law or regulatory authority.

This confidentiality obligation shall survive the termination of any engagement between the parties for a period of three (3) years.

Where Kyanite Blue arranges the supply of third-party cybersecurity products, the following applies:

The contract for the supply of the product is between you and the relevant vendor. Kyanite Blue acts as an intermediary and authorised channel partner.

Product warranties, service level agreements (SLAs), and support terms are governed by the relevant vendor's terms and conditions. Kyanite Blue will assist in facilitating support where appropriate but is not responsible for vendor SLA fulfilment.

Kyanite Blue may receive commission, rebates, or Marketing Development Funds (MDF) from vendors in connection with your purchase. This does not affect the price you pay or the independence of our recommendations.

Either party may terminate a services engagement by providing written notice in accordance with the notice period specified in the relevant proposal or order form.

Kyanite Blue reserves the right to suspend or terminate access to the client portal immediately if: (a) you breach these Terms; (b) we have reasonable grounds to believe your account has been compromised; or (c) you fail to pay any sums due.

Upon termination, your access to the client portal will be revoked and any outstanding fees shall become immediately payable.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the law of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

Before commencing formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through senior management escalation, with a minimum notice period of 30 days.

Kyanite Blue reserves the right to update these Terms at any time. Material changes will be communicated to active clients by email. Continued use of our website or client portal following notification of changes constitutes acceptance of the updated Terms.

We recommend reviewing these Terms periodically. The date of last update is shown at the bottom of this page.
